Cooperative Matters for Purchasing Unit

Discount Method/Confidentiality Clause
  • 1. Discount method: The buyer shall make payment to the seller based on the total cost of the project before the discount. The seller shall refund the discount to the buyer in the form of a red-letter invoice within 2-3 working days (with holidays postponed) after receiving the full payment.
  • 2. Confidentiality clause: The buyer is obligated to maintain strict confidentiality regarding the discount policy terms from the seller. If the buyer causes a leakage of the private discount policy content regarding the products in the agreement due to subjective or non-subjective reasons, resulting in losses to the seller, the seller has the right to immediately cease after-sales service for the equipment covered by the agreement and lock the machine. The buyer must assist in addressing the negative impact until the market risks caused by the leakage of the agreement content are eliminated, after which the seller will start the machine normally.
  • 3. Confidentiality breach penalties: If the buyer causes losses to the seller due to a breach of confidentiality clauses, the buyer shall refund the discounted amount in the discount agreement to the seller. If this breach leads to serious negative impacts and significant losses for the seller, the seller has the right to pursue relevant legal responsibilities and economic compensation from the buyer.
